Leadhunter B.V., Goese Dieplaan 97, 4463 LA Goes, Dutch Chamber of Commerce number 67665284, VAT number NL857118894B01, is the service provider. Contact: info@leadhunter.nl, +31 88 003 98 88, www.leadhunter.nl.
The client is the business commissioning the services. The assignment comprises support agreed in writing or electronically, including research, personal B2B customer contact, commercial follow-up, strategic advice, coaching, training and any content support. Systems and portal access support these services.
Client data means data, contact lists, instructions, notes and other materials processed for the client. A business day is Monday to Friday, excluding Dutch public holidays.
2 · Application and order of precedence
These terms are intended for agreements between businesses and apply where declared applicable before or when the agreement is concluded. The client’s purchasing terms do not apply unless expressly accepted by Leadhunter.
Individually agreed arrangements take precedence, followed by the assignment confirmation and these terms. The data processing agreement takes precedence for personal data processed on the client’s behalf. Mandatory law remains applicable.
3 · Formation and account registration
An assignment arises through written or electronic acceptance of an offer or assignment confirmation, or another demonstrable agreement to commission work. The agreed scope, fee, start date and duration determine the services.
Creating a portal account does not itself entitle the client to unlimited services or replace an assignment confirmation. Applicants must provide accurate information and be authorised to act for their organisation.
For electronic acceptance, Leadhunter retains the applicable document, version, time and identity of the accepting party. Acceptance of general terms is not consent to every possible marketing activity or new processing purpose.
4 · Performance and cooperation
Leadhunter performs assignments with due care on a reasonable-efforts basis, unless a specific result is expressly guaranteed. There is no automatic guarantee of a minimum number of appointments, responses or leads, revenue, reach, search ranking or mentions in AI answers.
Within the assignment, Leadhunter determines which team members perform the work. It may engage appropriate specialists and replace personnel while retaining responsibility and complying with applicable privacy arrangements.
The client supplies usable information, contact lists, substantive answers and approvals in time. Changes or missing information may affect delivery, scheduling and results. Material consequences for work and fees are discussed in advance.
Leadhunter may not contractually bind the client, change quotations or make commitments on its behalf except within an expressly granted mandate.
5 · Lawful customer contact and instructions
The client is responsible for the accuracy and lawful availability of supplied data, claims, selections and instructions. The parties agree who manages legal bases, information duties, evidence of consent and objections. Leadhunter remains responsible for its own legal duties and actions.
Before contact, account is taken of the channel, country, target organisation’s legal form and applicable rules. B2B contact does not mean every organisation or person may be approached without consent. A previous customer relationship does not replace consent where required.
Withdrawal of consent, an objection or another restriction is implemented and communicated to the other party where necessary. A minimal suppression list may be maintained to prevent repeated unwanted contact.
Leadhunter may refuse or suspend an apparently unlawful or insufficiently substantiated instruction and request clarification or amendment. The client must not supply special-category or criminal-offence data unless necessary additional arrangements have been agreed in advance.
6 · Research, appointments and follow-up
Research and information from public or external sources may be incomplete or outdated. Relevant findings are checked as reasonably appropriate; a business listing does not establish permission to contact an individual.
An introductory appointment is a next step based on available information. The eventual need, decision, attendance and commercial outcome depend on the participants. The client performs its own agreed follow-up in time.
Conversation notes and management information support cooperation. They do not replace the client’s own required records or independent assessment. Any appointment quality criteria are agreed separately.
7 · Strategy, coaching and content
Advice, coaching and training support the client and its employees. The client decides how to apply them and remains responsible for its business operations and decisions.
For agreed articles, website work and social posts, the parties agree content, scope and approval procedures. The client checks supplied product information, facts, rights and claims. Leadhunter remains responsible for due care in its own work.
Publication on the client’s behalf requires demonstrable approval of the relevant version or a previously recorded publication mandate. Leadhunter makes no changes to a website or social account without appropriate access rights.
Digital or AI tools may assist preparation and delivery within the privacy arrangements. Relevant output is appropriately checked. No unlimited exclusivity, accuracy or freedom from third-party rights is guaranteed for automatically generated content.
8 · Proprietary systems and access
Leadhunter may provide portal and app functions for insight, handover and follow-up requests. Usage rights apply within the agreed cooperation; they do not transfer ownership of software or general methods.
Users have personal access and protect passwords, devices and recovery methods. The client promptly reports departures, loss or misuse and grants only necessary permissions.
Maintenance, faults and third-party limitations may interrupt functions. Unless separately agreed, no availability or recovery time is guaranteed. Time-critical information is also coordinated through an appropriate direct channel.
9 · Fees, subscriptions and additional work
The assignment confirmation states the price, included support, review arrangements, payment term and any advance payments. Amounts exclude VAT unless stated otherwise. A subscription provides the described support, not automatically unlimited resources.
Leadhunter is not required to use an hourly model. An agreed fixed fee is not made dependent retrospectively on turnover or quantities unless agreed. Additional work or costs are agreed in advance.
Price changes are not retrospective. Changes for a renewal period are announced in sufficient time for the client to decide before renewal.
Late payment may incur statutory commercial interest and reasonable collection costs to the extent permitted by law.
10 · Duration, changes and termination
The assignment confirmation specifies duration, renewal and notice periods. A fixed term ends according to those arrangements. An ongoing assignment without an agreed notice period may be terminated in writing or electronically on reasonable notice, considering mandatory law and reserved capacity.
Material changes to objectives, target markets, channels or work are agreed together. They do not create implied consent to new processing or publications.
For a material breach, the other party may terminate after written notice of default and a reasonable remedy period, to the extent permitted by law. Immediate suspension may be justified by acute unlawfulness, serious security risks or misuse.
Completed work and amounts due are settled. Termination, data provision and handover are coordinated carefully; the data processing agreement continues while personal data is processed on the client’s behalf.
11 · Confidentiality and personal data
The parties use confidential information only for their cooperation and disclose it only where necessary to authorised persons or where required by law. Leadhunter ensures appropriate confidentiality within its team.
Leadhunter acts as controller for its own contact, contract, website, administration and security data. For contact lists and work performed on the client’s documented instructions, it generally acts as processor.
The actual role follows the particular processing. If Leadhunter independently determines a purpose and essential means, the processing is not automatically on the client’s behalf; appropriate arrangements must first be made. The privacy notice and data processing agreement explain this division.
12 · Rights in data and work
Rights in supplied data, brands and materials remain with their original holders. The client grants Leadhunter the authority necessary to use them for the assignment.
Leadhunter retains rights in its software, methods, models, templates and general knowledge. The client may use paid content and reports delivered for it for its own agreed business purposes. Intellectual property transfers only expressly and to the extent legally possible.
Leadhunter does not use confidential client lists for acquisition for other clients. Work for other organisations, including in the same sector, is permitted unless exclusivity is agreed. Third-party rights remain applicable.
13 · Liability and force majeure
Leadhunter is liable only for direct damage caused by an attributable breach. For a remediable breach, it must first have a reasonable opportunity to remedy it. Direct damage includes reasonable costs of establishing, limiting and remedying damage.
Indirect damage, including lost profits, missed commercial opportunities and business interruption, is excluded to the extent permitted by law. A client indemnity for unlawfully supplied data or instructions does not apply to the extent a claim is caused by Leadhunter’s own breach.
Total liability per assignment per contract year is limited to the fee paid for that assignment, excluding VAT, in the twelve months before the event. Related events count as one event. This limitation does not apply to intent or deliberate recklessness by management or where prohibited by mandatory law.
In force majeure beyond reasonable control, affected work may be suspended. The affected party informs the other and limits consequences where reasonably possible. For prolonged force majeure, the parties discuss adjustment or termination of the affected part.
14 · Final provisions
Material changes to terms are announced in advance and do not apply retrospectively. Existing assignments follow their applicable amendment procedure; mandatory law and required consent remain applicable.
Dutch law applies. Disputes are submitted to the competent court in Zeeland-West-Brabant unless mandatory law requires otherwise. Invalidity of one provision does not affect the remainder.
Electronic agreements and confirmations may serve as evidence. The adopted document and acceptance record determine the version applicable to the assignment.
